Salesforce announced on 20 October 2026 an agreement to buy Braze, Inc., the customer engagement platform, in an all-cash deal valued at about $5.66 billion in enterprise value. The merger agreement is dated 19 October, and both companies disclosed the terms in filings with the U.S. Securities and Exchange Commission. Under the agreement, a Salesforce merger subsidiary would merge into Braze, which would survive as a wholly owned Salesforce subsidiary.

For founders, the deal is a large, disclosed price for a customer engagement company, and the buyer tied the purchase to AI agents that act on customer data. The terms, the stated rationale and the open conditions are below. As of 20 October 2026, the deal has not closed.

The Deal Terms and What Must Happen Before Closing

Braze Class A stockholders would receive $47.50 in cash for each share. Salesforce's announcement gives an enterprise value of about $5.66 billion, which rounds to $5.7 billion. The announcement does not describe how the purchase will be financed, and it does not state total cash consideration.

The merger agreement lists Banff Acquisition Sub Inc., a Salesforce subsidiary, as the merger partner. Closing takes place on the fifth business day after the closing conditions are satisfied or waived, unless the parties agree otherwise. The filing sets no target date. Salesforce says it expects the deal to close in its fiscal year 2028, subject to approval by Braze shareholders and required regulatory approvals.

Salesforce said it expects no change to its FY27 guidance. It has not issued FY28 guidance and has not updated its long-term targets.

The Customer Data Case for AI Agents

Salesforce says Braze's real-time engagement and AI decisioning would complement all four layers of its platform: Data 360, Customer 360, Agentforce and SIForce. Within Customer 360, it says Braze would strengthen cross-channel personalization in Marketing Cloud.

Braze's own description, included in its filing, says its cloud-native, event-streaming architecture supports high-volume, real-time B2C engagement and continuously updates customer profiles. The platform handles trillions of messages and journey actions each year. Its BrazeAI feature uses AI to choose content, offers, channels and timing.

What the Price Shows About SaaS Exit Values

This is a cash exit for a public software company, with the price set per share. The merger agreement lists 113,594,303 Class A shares outstanding as of 15 October 2026. Multiplying those shares by $47.50 gives roughly $5.4 billion. That is a calculation from the filing, not a figure either company states, and it excludes stock options and any other share classes.

The filings do not include Braze's revenue, margins or growth rate. Without those figures, the price cannot be set against a revenue multiple using these sources. The filings do say Braze serves about 2,770 customers, including Canva, Dairy Queen, Equinox, Instacart, Urban Outfitters and Venmo.

“The price is a cash exit, but the filings do not give Braze's revenue, so it cannot be set against a revenue multiple here.”

What the Deal Means for Braze Customers and Founders Weighing a Sale

No integration plan, product changes or pricing for Braze customers have been announced as of 20 October 2026.

Braze chief executive and co-founder Bill Magnuson said in the announcement that marketers and their creativity are a brand's ultimate competitive advantage, and that Salesforce shares Braze's commitment to marketers. Patrick Stokes, Salesforce's president of applications and marketing, said Braze was built to turn live customer behavior into personalized engagement at scale.

For founders weighing a sale against staying independent, the deal is one disclosed example of a cash sale to a larger platform. It has to clear a Braze shareholder vote and regulatory review before it can close. The next filings are the steps to watch.
